These Terms and Conditions govern the use of carlinx.ca (the "Site"), owned and operated by 14047907 Canada Inc. This Site is a marketplace. By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

1 Intellectual Property

All content published and made available on our Site is the property of 14047907 Canada Inc and the Site's creators. This includes, but is not limited to, images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

2 Acceptable Use

As a user of our Site, you agree to use our Site legally and not to:

• Violate the rights of other users of our Site;
• Violate the intellectual property rights of the Site owners or any third party;

We reserve the right to modify, reject or cancel your order whenever necessary. If we cancel and have already processed payment, we will issue a full refund.

6 User Goods and Services

If we become aware that a user is violating these Terms, we reserve the right to suspend or prohibit that user from selling on our Site.

7 Subscriptions

Your subscription automatically renews and you will be automatically billed until we receive notification that you want to cancel.

8 Payments

We accept Credit Card payments on our Site. When you provide payment information, you authorize our use of and access to the payment instrument you have chosen. By providing payment information, you authorize us to charge the amount due.

If we believe your payment has violated any law or these Terms, we reserve the right to cancel or reverse your transaction.

9 Consumer Protection Law

Where the Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms will not limit your legal rights and remedies under that legislation. If there is a conflict between these Terms and that legislation, the mandatory provisions of the legislation will apply.

Our Site contains links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party website linked to on our Site. It is your responsibility to read their terms and privacy policies before using those sites.

11 No Verification of Listings or Users

All transactions are conducted solely between the buyer and the seller. CarLinx is not a party to any transaction and is not responsible for any aspect of the sale, including but not limited to: vehicle condition, odometer accuracy, VIN validity, outstanding finance, liens, title status, accident history, or the seller's legal right to sell.

It is your sole responsibility as a buyer to independently verify all listing information before completing any purchase. We strongly recommend that you:

• Obtain a vehicle history report (e.g., CARFAX Canada) prior to purchase;
• Have the vehicle independently inspected by a qualified mechanic;
• Verify ownership and title through your provincial motor vehicle registry;
• Confirm that no liens exist on the vehicle through a lien search; and
• Exercise caution and meet sellers in safe, public locations.

CarLinx expressly disclaims any and all liability arising from transactions between users, including any loss, damage, or harm resulting from reliance on unverified listing information. By using this Site, you acknowledge and accept these risks entirely.

12 Price Offers & Expressions of Interest

The following terms apply to all offer and price-submission features on this Site:

• No binding obligation. Submitting or receiving an offer through CarLinx creates no legal obligation on the part of either the buyer or the seller to proceed with, respond to, or complete any transaction.
• No agency or brokerage. CarLinx does not act as agent, broker, intermediary, or representative for any buyer or seller in connection with any offer or transaction. We are a technology platform only.
• No funds handled. CarLinx does not receive, hold, process, escrow, or facilitate the transfer of any funds, deposits, or payments between users at any stage of the offer or purchase process. All financial arrangements are made directly and solely between buyer and seller.
• Seller discretion. Sellers are under no obligation to accept, acknowledge, or respond to any offer submitted through the Site. Listing a vehicle does not constitute an offer to sell at any stated price.
• Offer withdrawal. Either party may withdraw or revoke an expression of interest at any time prior to a separate, independent, written agreement being executed outside of this platform.
• No price guarantee. CarLinx does not warrant that any listed price, estimated value, or submitted offer reflects fair market value or any other valuation standard.

Any binding agreement for the purchase or sale of a vehicle must be concluded through a separate written contract executed directly between the buyer and seller, entirely outside of and independent from this platform. CarLinx expressly disclaims all liability arising from any reliance placed on offers, counter-offers, or price submissions made through this Site.

13 Limitation of Liability

14047907 Canada Inc and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees arising from your use of the Site.

14 Indemnity

Except where prohibited by law, by using this Site you indemnify and hold harmless 14047907 Canada Inc and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms.

15 Applicable Law

These Terms and Conditions are governed by the laws of Canada and the Province of Ontario. 14047907 Canada Inc. is a federal corporation incorporated under the Canada Business Corporations Act. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

16 Additional Terms

You accept full responsibility for determining whether carlinx.ca material and services are suitable for any particular purpose and for protecting yourself against any possible consequential damages.

17 Severability

If at any time any of the provisions set forth in these Terms are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and removed. All other provisions will not be affected and the rest of these Terms will still be considered valid.

18 Changes

These Terms may be amended from time to time to maintain compliance with the law and to reflect any changes to the way we operate our Site. We will notify users by email of changes or post a notice on our Site.
